These Terms of Service (the “Terms”) are a binding agreement between you and Floating Binary Software Systems Inc. (“FlashApply,” “we,” “us” or “our”), a corporation incorporated under the laws of Ontario, Canada with its registered office at 23 Barrel Yards Blvd, Waterloo, Ontario, Canada. They govern your use of the FlashApply website at flashapply.ai, the FlashApply application at app.flashapply.ai (including when installed on a device), our emails, and any related services (together, the “Service”).

Please read these Terms carefully. By creating an account, using the Service as a guest, or buying a plan or credits, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

Plain-language summary (not a substitute for the Terms): FlashApply searches the web for job postings, helps you tailor your resume, and can run searches for you on a schedule. It never applies to jobs for you. Job postings belong to third parties and may be inaccurate or closed. AI output can be wrong, so check everything before you use it. Paid plans renew monthly until you cancel. Credits have no cash value and expire. You own your resume, and you can delete your account at any time.

1. Who can use FlashApply

1.1 Age. You must be at least 16 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or legal guardian, who must agree to these Terms and make any purchase on your behalf.

1.2 Capacity and authority. You confirm that you can form a binding contract and that you aren’t barred from using the Service under any applicable law. If you use the Service on behalf of an organization, you confirm that you have authority to bind it, and “you” includes that organization.

1.3 Sanctions. You may not use the Service if you are located in, or are a resident or national of, a country or region subject to comprehensive Canadian, United States or United Nations sanctions, or if you are a person or entity those sanctions name.

2. What FlashApply does and doesn’t do

2.1 The Service. FlashApply lets you describe the work you’re looking for in plain language, runs a live web search for matching job postings, shows you listings with links to where they were found, helps you tailor your resume to a posting, and, on eligible plans, runs searches on a schedule and emails you new results (“Auto Search”).

2.2 We never apply on your behalf. FlashApply doesn’t submit applications, contact employers, or communicate with anyone for you. You decide whether and where to apply, and you submit every application yourself.

2.3 We are not an employer, recruiter or employment agency. We don’t represent employers or candidates, screen or place candidates, or take part in any hiring decision. Using the Service doesn’t create an employment, agency or fiduciary relationship between you and us or any employer.

2.4 Job postings belong to others. Postings come from third-party websites found through web search. We don’t write, own, endorse, or verify the employers or the postings, and a posting may be inaccurate, incomplete, out of date, already filled, or fraudulent. Salary, location and date information is shown “as listed” when a posting states it, and may still be wrong. Before applying, check the posting on the original website, and never send money or sensitive personal information (such as a government ID number or bank details) to anyone who contacts you about a job until you have confirmed they are genuine.

2.5 No guarantee of results. We don’t guarantee that you’ll find a job, get an interview or receive an offer, or that any particular posting will appear in your results.

2.6 Third-party sites. Links take you to websites we don’t control. Your use of them is governed by their own terms and privacy policies, and we aren’t responsible for their content or practices.

3. AI features

3.1 How AI is used. The Service uses artificial intelligence models provided by third parties (currently OpenAI) to interpret your requests, search for and summarize postings, and generate tailored resume text (“AI Output”).

3.2 AI Output can be wrong. AI Output may be inaccurate, incomplete, out of date, or unsuitable for your purpose, even when it sounds confident. You are responsible for reviewing all AI Output, and especially every tailored resume, before you rely on or submit it.

3.3 Accuracy checks are a safeguard, not a guarantee. FlashApply compares tailored resumes against your original and flags new employers, titles, schools, credentials, skills and numbers. These checks can miss things. You alone are responsible for making sure everything you submit to an employer is true and accurate.

3.4 Not professional advice. Career guidance in the Service is general information. It isn’t legal, financial, immigration, tax or professional career advice.

4. Accounts

4.1 Signing in. You can sign in with an email link or a supported third-party account, such as Google. Keep access to your email account and devices secure. You are responsible for all activity under your account.

4.2 Accurate information. Provide accurate information and keep your email address current, so we can send you sign-in links, Auto Search results and important notices.

4.3 One person, one account. Accounts are personal. Don’t share your account, and don’t create multiple accounts or use guest sessions to get around free limits, credit costs or plan limits.

4.4 Guest use. You can use limited features without an account. Guest data is deleted automatically after about 24 hours, and guest use is subject to daily limits.

4.5 Tell us about misuse. If you believe someone has accessed your account without permission, contact us right away at support@flashapply.ai.

5. Your content

5.1 You own your content. “Your Content” means everything you submit to the Service, including resumes, files, messages, search requests, Auto Search settings and edits. You keep all ownership rights in Your Content.

5.2 Permission to operate the Service. You grant us a worldwide, non-exclusive, royalty-free licence, for as long as you use the Service, to host, store, copy, process, transmit, and adapt Your Content (for example, to produce tailored versions of your resume) only as needed to provide, secure, and support the Service for you and as described in our Privacy Policy. This includes sharing Your Content with the service providers that help us run the Service, such as our AI and hosting providers, under confidentiality and data-protection obligations. The licence ends when Your Content is deleted, except for copies we must keep to comply with law.

5.3 No AI training on your content. We don’t use Your Content to train artificial intelligence models, and we don’t sell Your Content.

5.4 Your responsibilities. You confirm that you have the rights needed to submit Your Content, that it is accurate to the best of your knowledge, and that it doesn’t violate any law or anyone else’s rights. Only include other people’s personal information (such as references) if you have their permission. Don’t include information you don’t need to share, such as government identification numbers, financial account numbers, or health information.

5.5 Feedback. If you send us ideas or suggestions, you allow us to use them without restriction or payment to you.

6. Acceptable use

You agree not to, and not to help anyone else to:

  1. break any law or regulation, or infringe or misappropriate anyone’s rights;
  2. use the Service to harass, defraud, impersonate, or discriminate against anyone, or to recruit for, post, or promote fraudulent or illegal work;
  3. submit false information to employers using AI Output, or misrepresent your identity, qualifications, or work history;
  4. access the Service by automated means (bots, scrapers, crawlers, or scripts), except through features we provide for that purpose, or resell, sublicense, or provide the Service to others;
  5. copy, extract, or systematically collect job listings or other data from the Service to build a competing product or dataset;
  6. probe, scan, or test the vulnerability of the Service, or breach or get around any security, authentication, rate limit, usage limit, or credit control;
  7. reverse engineer, decompile, or try to derive the source code or underlying models of the Service, except where the law expressly permits this despite this restriction;
  8. upload malware, or anything designed to interfere with the Service, or try to manipulate the AI features through prompt injection or similar techniques;
  9. interfere with or overload the Service, or with other users’ use of it; or
  10. use stolen or unauthorized payment methods, or make chargebacks in bad faith.

We may investigate suspected violations, and take any action we consider appropriate, including removing content, limiting features, and suspending or ending accounts.

7. Plans, credits, and payment

7.1 Plans. We offer a free tier and paid subscription plans (currently “Spark” and “Lightning”), and we sell credit packs separately. Each plan’s features, limits, price, and included credits are shown in the app before you buy. Features and limits may change as described in section 12.

7.2 What credits are. Credits are a measure of the AI usage you can consume in the Service, such as searches, chat, and resume tailoring. Credits:

  • have no cash or monetary value, and aren’t money, currency, a deposit, or stored value;
  • can’t be sold, transferred, gifted, or exchanged for cash or for anything outside the Service;
  • aren’t refundable, except as section 9 or the law requires; and
  • may be used only by the account that received them.

7.3 How credits are used. Before an action runs, the Service reserves enough credits to cover its maximum possible cost. When the action finishes, only the credits it actually used are charged, and the rest are returned. A failed action costs nothing. Subscription credits are used before purchased credits, and purchased credits are used in order of soonest expiry. We may change how many credits an action uses. We’ll show current costs in the app, and changes won’t apply to an action you’ve already started.

7.4 When credits expire.

  • Subscription credits are granted at the start of each billing period and expire at the end of that period. Unused subscription credits don’t roll over. They also end when your subscription ends.
  • Purchased credit packs expire 12 months after purchase. Their expiry is shown before you buy. Purchased credits stay available if you cancel or change your subscription.

7.5 Auto Search. Auto Search is included with eligible plans, subject to the limits shown in the app (for example, how many Auto Searches can be active and how often they run). It doesn’t use credits. When a plan ends or changes to one with lower limits, Auto Searches above the new limit are paused, or all are paused if the plan doesn’t include Auto Search. Auto Search results are delivered by email on a best-efforts basis and may be delayed, incomplete, or interrupted.

7.6 Fair use. To protect the Service, we apply daily and monthly safety limits to free and paid use, including spending limits on Auto Search. We may also temporarily limit usage that is far outside normal patterns or that threatens the Service’s stability.

7.7 Payment. Payments are processed by our payment provider, Stripe. By buying, you authorize us and Stripe to charge your chosen payment method for all amounts due, including applicable taxes. We don’t store your full card details. Prices are in the currency shown at checkout (currently US dollars) and exclude taxes unless stated otherwise. Taxes are calculated at checkout based on your location. Your bank may charge currency-conversion or foreign-transaction fees.

8. Subscriptions: renewal, changes, and cancellation

8.1 Automatic renewal. Subscriptions renew automatically every month at the then-current price, charged to your payment method at the start of each billing period, until you cancel. We’ll show the renewal terms at checkout and in your account.

8.2 Cancelling. You can cancel at any time in Account → Manage billing. Cancellation takes effect at the end of your current billing period. You keep paid features and remaining subscription credits until then, and you won’t be charged again. We don’t give refunds or credits for partial billing periods, except as section 9 or the law requires.

8.3 Upgrading. When you upgrade (for example, from Spark to Lightning), the change takes effect immediately and a new monthly billing period starts that day. You’ll be charged the new plan’s price, minus a credit for the unused part of your current plan, and you’ll receive the new plan’s credits. We’ll show the charge and ask you to confirm before upgrading. If the payment fails, your plan doesn’t change.

8.4 Downgrading. A downgrade takes effect at the end of your current billing period, unless we tell you otherwise when you make the change.

8.5 Failed payments. If a renewal payment fails, we and Stripe may retry it. While payment is outstanding, we may stop granting new subscription credits or limit paid features. If payment still can’t be collected, your subscription will be cancelled and your account will move to the free tier.

8.6 Price changes. We may change subscription prices. We’ll give you at least 30 days’ notice by email before a new price applies to you, and the new price will take effect at your next renewal after the notice period. If you don’t agree to the new price, you can cancel before it takes effect.

9. Refunds

9.1 Our refund policy.

  • Credit packs: if you haven’t used any credits from a pack, you can ask for a full refund within 14 days of purchase. Once you’ve used any credits from a pack, it is non-refundable.
  • Subscriptions: subscription fees are non-refundable, including for partial billing periods. If you were charged a renewal by mistake and haven’t used any credits or paid features since that renewal, contact us within 7 days and we’ll refund it.
  • To ask for a refund, email support@flashapply.ai from the address on your account.

9.2 Your legal rights. Nothing in these Terms limits any refund, withdrawal, or cancellation right you have under consumer law that can’t be waived by contract. If you live in the European Economic Area, the United Kingdom, or another place that gives consumers a right to withdraw from online purchases: you agree that we may start providing paid digital services and credits immediately after purchase. You acknowledge that, where the law allows, you lose your right of withdrawal once you use a paid feature or any purchased credits. If you withdraw before then, we’ll refund you in line with the law.

9.3 Effect of refunds and chargebacks. If a purchase is refunded, reversed, or disputed (including a chargeback), we may remove the credits, plan, or features from that purchase that you haven’t used yet. Credits you’ve already used can’t be restored. If you file a chargeback that we reasonably believe is in bad faith, we may suspend your account while the dispute is resolved.

10. Emails

10.1 Service emails. We send emails you need to use the Service, such as sign-in links, Auto Search results you set up, and important account and billing notices. You can stop Auto Search emails at any time by pausing or deleting the Auto Search, using the unsubscribe link in the email, or changing your settings.

10.2 Marketing emails. We send marketing emails only if you opt in. You can opt out at any time using the link in any marketing email or in your account settings.

11. Our intellectual property

The Service, including its software, design, text, graphics, logos, and trademarks (such as “FlashApply” and the FlashApply logo), but not Your Content or third-party postings, is owned by us or our licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own job search. All rights not expressly granted are reserved.

12. Changes to the Service and these Terms

12.1 The Service. We are always improving the Service. We may add, change, or remove features, models, limits, or plans. If we make a change that materially reduces a paid plan you’ve already paid for during its current billing period, we’ll tell you in advance where reasonably possible. If you don’t accept the change, you may cancel, and we’ll refund the unused part of that period.

12.2 These Terms. We may update these Terms from time to time. If a change is material, we’ll give you at least 30 days’ notice by email or in the app before it takes effect, unless the change is required by law or addresses a security risk, in which case it may take effect sooner. By continuing to use the Service after a change takes effect, you accept it. If you don’t agree, stop using the Service and cancel any subscription before the change takes effect.

13. Suspension and termination

13.1 By you. You can stop using the Service at any time, and delete your account in Account → Delete account. Deletion is immediate and permanent. It cancels any active subscription, and unused credits are forfeited and not refunded.

13.2 By us. We may suspend or end your access to all or part of the Service, with or without notice, if: you materially or repeatedly breach these Terms; we’re required to by law; your use creates risk or possible legal exposure for us, other users, or third parties; you don’t pay amounts due; or we stop offering the Service. Where reasonable, we’ll tell you why and give you a chance to fix the problem first.

13.3 Effect. When your access ends, your right to use the Service stops immediately. If we end your access without cause, or because we’re discontinuing the Service, we’ll refund any prepaid subscription fees for the remaining part of the billing period and the price of unused, unexpired purchased credits. If we end your access because you breached these Terms, unused credits are forfeited. Sections 5.5, 7.2, 9.3, and 11 through 19 survive termination.

14. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, ALL AI OUTPUT, AND ALL JOB POSTINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES ANY IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT ANY POSTING IS ACCURATE, CURRENT, OR LEGITIMATE; THAT AI OUTPUT IS ACCURATE OR SUITABLE; OR THAT EMAILS WILL BE DELIVERED. YOU USE THE SERVICE AND ACT ON ANY POSTING OR AI OUTPUT AT YOUR OWN RISK.

Some jurisdictions don’t allow certain warranties to be excluded. In those places, these exclusions apply only to the extent the law permits, and you may have additional rights.

15. Limitation of liability

15.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER FLASHAPPLY NOR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, EARNINGS, EMPLOYMENT OR BUSINESS OPPORTUNITY, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

15.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) US$100.

15.3 These limits apply to every theory of liability, including contract, tort (including negligence), and statute, and even if a remedy fails of its essential purpose. They don’t limit liability that can’t be limited by law, such as liability for fraud, gross negligence, or wilful misconduct, or for death or personal injury caused by negligence, or any rights you have as a consumer that can’t be waived.

16. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless FlashApply and its affiliates, directors, officers, employees, and agents from any third-party claim, and related losses, liabilities, damages, and costs (including reasonable legal fees), arising out of: Your Content; your use of the Service or AI Output, including anything you submit to an employer; or your breach of these Terms or of the law. This section doesn’t apply to the extent a claim is caused by our own breach, negligence, or wilful misconduct.

17. Governing law and disputes

17.1 Talk to us first. Most concerns can be resolved quickly. Before starting any formal proceeding, please email legal@flashapply.ai with a description of the issue, and give us 30 days to try to resolve it.

17.2 Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods doesn’t apply.

17.3 Courts. Subject to section 17.4, the courts located in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you and we both consent to their jurisdiction.

17.4 Consumers. If you are a consumer, nothing in this section takes away the protection of mandatory laws of the place where you live, or your right to bring proceedings in the courts there where that right can’t be waived.

17.5 Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.

18. Notices

We may send notices to the email address on your account or show them in the Service. Notices to us must be sent to legal@flashapply.ai, with a copy to: Floating Binary Software Systems Inc., 23 Barrel Yards Blvd, Waterloo, Ontario, Canada.

19. General

19.1 Entire agreement. These Terms, together with the Privacy Policy and any terms shown at checkout, are the entire agreement between you and us about the Service, and replace any earlier agreements on the subject.

19.2 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate, with notice to you.

19.3 Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms stays in effect.

19.4 No waiver. Not enforcing a provision isn’t a waiver of our right to enforce it later.

19.5 Force majeure. We aren’t liable for delays or failures caused by events beyond our reasonable control. These include outages of internet, cloud, AI, email, or payment providers, natural disasters, acts of government, labour disputes, or attacks on our systems.

19.6 Relationship. You and we are independent parties. These Terms don’t create a partnership, joint venture, employment, or agency relationship.

19.7 No third-party beneficiaries. These Terms benefit only you and us, except that section 16 also benefits the people it names.

19.8 Language. These Terms are written in English. If we provide a translation, the English version governs to the extent permitted by law.

19.9 Headings and examples. Headings and summaries are for convenience only. Words like “including” mean “including without limitation.”
